Lately we have been witnessing important changes aimed to encourage long-term shareholder engagement and to enhance transparency between companies and investors in listed companies. The changes affect, in particular, the position of investors with significant holdings for the purposes of controlling and managing the company and the role of institutional investors and hedge funds, especially in connection with regulations concerning proxies. Considering the contrast between the US and European perspectives proves to be a useful tool to better understand these recent changes.
